Welcome to KosyGuard. These Terms of Service (“Terms”) govern your access to and use of the KosyGuard software, website (potomactriangle.com), and related services (collectively, the “Service”) provided by Potomac Triangle LLC (“Company,” “we,” “us,” or “our”). By purchasing, installing, or using KosyGuard, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our Service, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
KosyGuard is a third-party risk management add-on for NinjaTrader 8. It is designed to help traders enforce their own self-defined trading rules, including daily loss limits, trade timeouts, news blocking, max trade counts, and streak-based lockouts. KosyGuard does not provide financial advice, trading signals, or investment recommendations of any kind.
3. License & Usage
Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to use KosyGuard on a single machine per license. Each license key is tied to one computer. If you need to run KosyGuard on a second machine, a separate add-on subscription ($25/month) is available. If you replace your computer, contact our support team via Discord or email and we will transfer your license at no charge. You may not redistribute, resell, sublicense, reverse-engineer, decompile, or modify KosyGuard in any way. You may not share your license key with any other person or entity.
4. Subscriptions & Payments
KosyGuard is available through the following plans, all processed through our payment partner Whop (whop.com): (a) Monthly Subscription — billed monthly after an initial 14-day free trial period, cancel anytime; (b) Annual Subscription — billed annually, cancel anytime, access continues through the end of the billing period; (c) Lifetime License — one-time payment for perpetual access. Launch pricing is locked in at your sign-up rate for as long as your subscription remains active. If you cancel and later resubscribe, you will be subject to the pricing in effect at that time. All billing, payment processing, and subscription management is handled by Whop.
5. Free Trial
We offer a 14-day free trial on monthly subscriptions. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.
6. Cancellation & Refunds
You may cancel your subscription at any time through your Whop dashboard. There are no cancellation fees. Upon cancellation, your access continues until the end of your current billing period. Refund requests are handled on a case-by-case basis — please contact support@potomactriangle.com or reach out via our Discord.
7. No Financial Advice Disclaimer
KosyGuard is not a financial advisor, broker, or trading system. It is a risk management tool that enforces rules you define. We do not provide investment advice, trading recommendations, or opinions on the merits of any trade. You are solely responsible for your own trading decisions and outcomes.
8. Assumption of Risk
Futures and forex trading involves substantial risk of loss and is not suitable for all investors. You acknowledge that: trading can result in the loss of some or all of your invested capital; past performance is not indicative of future results; KosyGuard is a tool to assist with discipline, but it does not guarantee profits or the prevention of losses; software may experience bugs, latency, or connectivity issues that could affect its operation — you should not rely solely on KosyGuard as your only risk management measure.
9. Limitation of Liability
To the maximum extent permitted by law, Potomac Triangle LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or business interruption, arising out of or related to your use of KosyGuard, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Third-Party Services
KosyGuard is designed to work with NinjaTrader 8, which is a product of NinjaTrader Group, LLC. We are not affiliated with, endorsed by, or sponsored by NinjaTrader Group, LLC. NinjaTrader® is a registered trademark of NinjaTrader Group, LLC. Your use of NinjaTrader is subject to their own terms and conditions. Payments are processed by Whop. We are not responsible for Whop’s platform availability, payment processing issues, or their data handling practices.
11. Intellectual Property
All content, code, design, trademarks, and intellectual property associated with KosyGuard and the Potomac Triangle LLC brand are the exclusive property of Potomac Triangle LLC. You may not copy, reproduce, or create derivative works from any part of our Service without express written permission.
12. Account Termination
We reserve the right to suspend or terminate your access to KosyGuard at our discretion if you violate these Terms, engage in abusive behavior toward our team or community, attempt to reverse-engineer or redistribute the software, or engage in fraudulent activity.
13. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated through our website or Discord. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Virginia.
